For
the benefit of this contract, all of these Websites will be referred to as ‘Search
Jobs’.
'Member(s)':
An individual who has registered with Search Jobs to access the
Website to apply for a job.
'Employer(s)':
Any entity which can include a company, partnership or individual who
has contracted with Search Jobs limited to fill a job vacancy on the
Website.
'Job
Detail': Any information on any job vacancy that the employer is
looking to fill on the Website.
'Advertisement':
The advertisement sent by the Employer to be placed on the Search Jobs
website.
CONTRACT
BASIS
By
registering as a Member or submitting an Advertisement to Search Jobs, Members
and Employers state that they have read Search Jobs Terms of Use and agree with
the rules set out governing the use of the Website. Search Jobs may change
these Terms of Use from time to time and by continuing to use the Website,
Members and Employers accept and agree to be bound by all changes.
The
Terms of Use contain limitations of Search Jobs liability and exclusions of
warranties. If Members and Employers do not agree to these Terms of Use Search
Jobs is not willing to allow Member access to the Website and the services and
facilities and Members must leave the Website.
Search
Jobs reserves the right to report any improper usage of the website or
contravention of these terms under the Data Protections Acts (1984 and 1998) to
the Department of Employment, the Online Marketing Council and the Data
Protection Registrar.
SEARCH
JOBS
Search
Jobs will host advertisements supplied by the Employer on it’s websites in the
form and format agreed.
Search
Jobs shall be responsible for the Website and shall only be required to use its
reasonable endeavours to keep the Website operational.
Search
Jobs shall not be a party to any exchange of e-mails or any telephone
conversations or meetings between Members and Employers. Both Members and
Employers acknowledge that Search Jobs sole obligation is to provide the
Website and its services in accordance with this Agreement.
USE
OF THE SITE
Members
must acknowledge that the Website is intended to facilitate introductions being
made between Member and the Employer; and that following any introduction being
made it shall be up to Member and the Employer to agree how to progress matters
further; that Members shall act in good faith and in a business like and
courteous way; and that Members shall keep strictly confidential all
confidential information disclosed to Member by the Employer.
Members
shall not be required to pay Search Jobs for use of the Website.
Members
may not use the Website in order to transmit, distribute, store or destroy
material in violation of the law, in violation of copyright, trade secret or
other intellectual property rights of others, or that is defamatory, obscene,
threatening, abusive or hateful.
Members
and Employers are prohibited from violating or attempting to violate the
security of the Website, including accessing data not intended for such user or
logging into an account or server which the Member or Employer is not
authorised to access; attempting to scan, probe or test the vulnerability of
the system or network or to breach authentication or security measures;
attempting to interfere with service to any Member, Employer, host or network,
including, without limitation, via means of submitting a virus, overloading,
flooding, spamming, mailbombing or crashing; sending unsolicited email; or
forging TCP/IP packet header or any part of the header information in any email
or newsgroup posting. Violations of any of the above may result in civil or
criminal prosecution and Search Jobs will involve and cooperate with law
enforcement authorities in prosecuting Members and Employers involved in such
violations.
Members
and Employers are also prohibited from posting any franchise, pyramid,
membership or representative scheme or business opportunity which requires up
front or periodic payment, pays commission only, or requires recruitment of
other members, sub-distributors or sub-agents.
Members
and Employers agree they are open to Search Jobs contacting them via their
e-mail address for any reason, providing it is in accordance with the Search
Jobs privacy policy as published on the Website.
To
avoid any possible abuse of the Website and the services and facilities it
offers Search Jobs may require a Member to confirm at any time a Member’s
identity, address and contact details and details of a Member’s current
employment status and the identity of a Member’s current employer. Failure by
Member to provide any information requested by Search Jobs within 14 days and
without reasonable cause shall permit Search Jobs to terminate this
Agreement.
At
Search Jobs request Members and Employers shall supply Search Jobs with such
information that it reasonably requires to confirm that any information that
has been supplied for posting on the Website is accurate; and that Members and
Employers are not in breach of this Agreement.
Failure
by Members or Employers to provide any information requested by Search Jobs
under this Term within 14 days and without reasonable cause shall permit Search
Jobs to terminate this Agreement.
Members
confirm that; when posting any information on the Website Members shall comply
with any relevant Guidelines; all details submitted by Members for application
via the Website may be read by any visitor to the Website; and anything posted
by Member on the Website shall remain on the Website until Member either
request its removal or it is removed by Search Jobs.
To
enable Search Jobs to improve and/or market the Website and the services it
supplies Members and Employers acknowledge that Search Jobs may produce
statistics based upon the use of the Website and Search Jobs may contact
Members and the Employers by e-mail, telephone or post for feedback regarding
the Website and the services provided. This process will not involve Search
Jobs divulging a Member’s or Employer’s details to a third party.
EMPLOYERS
The
fees for placing Advertisements Banners, Buttons and Jobs-by-Email on the
Website are available on the Website and by request. Unless expressly stated in
writing, all prices are exclusive of VAT which shall be charged at the
applicable rate.
Payment
is due 7 days after invoice. Search Jobs may invoice at any time after the
Advertisement has been placed. In the case of late payment, interest will
accrue day to day at the rate of 5% above the dealing rate of the Bank of
England in accordance with the Late Payment of Commercial (Interest) Act 1998.
Responsibility
for the content of job adverts rests solely with the Employer. In displaying
the Advertisement, Search Jobs do not accept any responsibility for ensuring
that the material submitted is compliant with all applicable laws and
regulations.
Search
Jobs reserve the right to remove, interrupt or restrict access to the Website
for any reason whatsoever.
RESTRICTIONS
Members
and Employers acknowledge that the success of the Website as a means of
introducing potential employers and potential employees depends upon the
restrictions set out in these Terms being strictly observed.
Members
shall not make any material misrepresentations or inaccuracies in respect of
any information posted by Members on the Website, obtain or seek to obtain the
details of any Employer when Members have no intention or conceivable prospect
of obtaining a position with that Employer, or use the Website for the purpose
of building up a database of potential employers that Members or any other
person intends to exploit for any commercial purpose.
Any
breach of these Terms shall entitle Search Jobs to immediately terminate this
Agreement and seek legal redress.
PROHIBITED
USERS
Members
acknowledge that it is a strict requirement of entering this Agreement that
Members shall not be involved or in any way connected with the provision of
recruitment services, or any unlawful activity.
Any
breach of these Terms by Members shall entitle Search Jobs to terminate this
Agreement.
OUR
LIABILITY
The
Website and the services and facilities Search Jobs offers is provided without
warranty of any kind, either express or implied. Search Jobs excludes any
warranty, term or condition not expressly set out in these Terms including
without limitation any warranty for information, data, services, uninterrupted
access, or products provided through or in connection with the Website.
Members
acknowledge that Search Jobs shall have no liability to Members under this
Agreement due to the uncertainty of any particular job vacancy being filled by
means of an introduction effected via the Website and because Members are not
required to pay Search Jobs any sums to use the Website.
Members
acknowledge that Search Jobs shall not be liable for any material inaccuracies
or misrepresentations in any Job Detail where the information in question was
received by Search Jobs in good faith for inclusion on the Website.
Members
and Employers agree to hold Search Jobs and all its subsidiaries, affiliates,
agents or other partners and employees harmless from any claim or demand
including without limitation all costs, expenses, claims losses, liabilities or
proceedings made by any third party due to or arising out of the content of
anything that Members and Employers or any other party submits on their behalf
for publication on this website or transmission using this website.
Members
and Employers agree to indemnify Search Jobs against all proceedings, costs,
fees expenses, payments, liabilities, injury, death, loss and damage arising
out of any claims brought against Search Jobs (in negligence or otherwise) that
are attributable to Members and Employers failing to comply with any of the
provisions of this Agreement.
Members
and Employers agree to indemnify
and keep indemnified Search Jobs , its officers, directors, employees and
agents from and against all claims, action, demands, including without
limitation all costs, expenses, claims, losses, liabilities or proceedings
arising from use or misuse of this website or from your breach of these
conditions of use.
Members
acknowledge that the indemnity given by Members in the preceding Terms are
reasonable having regard to the fact that it is unrealistic to expect Search
Jobs to independently verify all the information posted by Members or by the
Employer on the Website.
Search
Jobs shall not be liable for any failure to perform any obligation caused by
any event beyond its reasonable control.
Members
and Employers acknowledge that changes may over time be made by Search Jobs to
develop the Website and that this may result in limited periods when the
Website may be out of action for this reason.
TERMINATION
Notwithstanding
anything to the contrary Search Jobs may terminate this Agreement at any time
on 7 days written notice.
This
Agreement may be terminated by Search Jobs on immediate notice in any of the
circumstances provided for in the terms above; if Members should make any
material misrepresentation in order to become a registered user of the Website;
if Members should use the Website for any improper use or with the intention to
damage the reputation of either the Website or the services or facilities
provided by the Website.
This
Agreement may be terminated by Members provided Members give Search Jobs 14
days written notice.
MISCELLANEOUS
Nothing
in this Agreement shall oblige Search Jobs to renew this Agreement, and/or
prevent Search Jobs from winding up the Website at some future date.
Members
and Employers may not assign any of the rights or obligations under this
Agreement.
Any
notice or other communication under this Agreement shall be in writing and may
be delivered by hand, by fax or registered post, or by e-mail. All
communications shall be deemed to be received upon receipt.
If
you are accessing the website from outside the
United Kingdom
, Search Jobs does not warrant that the contents of this
website may be legally viewed. It is your sole responsibility to ensure full
compliance with the laws of your jurisdiction.
This
Agreement shall be governed and construed in accordance with English law.
